These Terms and Conditions (“Terms”) govern your use of the FC Tech website (the “Site”) and any services provided by FC Tech Limited (“FC Tech,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms.
2. About FC Tech
FC Tech Limited is a company registered in the Federal Republic of Nigeria with its principal place of business in Lagos. FC Tech provides talent sourcing and technology outsourcing services connecting global clients with professionals based in Nigeria and West Africa.
3. Services
FC Tech offers, among others:
- Software engineering and technical talent placement
- AI and data operations services
- Customer experience support staffing
- Creative and knowledge work staffing
- Long-term embedded talent partnerships
Specific terms for each engagement are governed by a separate Master Services Agreement (MSA) or Statement of Work (SOW) executed between FC Tech and the client.
4. Use of the Website
You agree not to:
- Use the Site for any unlawful purpose
- Attempt to gain unauthorized access to any portion of the Site
- Interfere with or disrupt the Site’s functionality
- Reproduce, duplicate, or resell any portion of the Site without written consent
- Submit false, misleading, or fraudulent information
5. Intellectual Property
All content on the Site — including text, graphics, logos, icons, images, and software — is the property of FC Tech or its licensors and is protected by Nigerian and international copyright laws. You may not reproduce, distribute, or create derivative works without our express written permission.
6. Client Engagements
- All client engagements require a signed agreement specifying scope, deliverables, payment terms, and confidentiality obligations.
- FC Tech operates as an independent contractor as specified in each agreement.
- Talent sourced through FC Tech are engaged through FC Tech or its trusted local partners, as specified in the applicable agreement.
- Clients agree not to directly solicit or hire FC Tech-placed talent outside the agreed engagement for a period of 12 months following project completion, except by written agreement.
7. Payment Terms
Payment terms are governed by individual client agreements. Standard practice includes:
- Invoicing in USD, EUR, GBP, or other agreed currencies
- Net 15 to Net 30 payment terms
- Late payment fees of 1.5% per month on overdue balances
8. Confidentiality
FC Tech and its clients mutually agree to protect confidential information shared during engagements. Detailed confidentiality terms are included in individual client agreements.
9. Limitation of Liability
To the maximum extent permitted by law:
- FC Tech’s total liability under any engagement shall not exceed the fees paid by the client in the three (3) months preceding the claim.
- FC Tech shall not be liable for indirect, incidental, special, consequential, or punitive damages.
- Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold harmless FC Tech, its directors, employees, and affiliates from any claims, damages, or expenses arising from your breach of these Terms or your misuse of the Site.
11. Termination
FC Tech reserves the right to suspend or terminate access to the Site at any time, with or without notice, for any violation of these Terms.
12. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the Federal Republic of Nigeria.
- Any dispute arising shall first be addressed through good-faith negotiation.
- Unresolved disputes shall be referred to arbitration in Lagos under applicable Nigerian arbitration rules, conducted in English by a single arbitrator.
- For international clients, the parties may mutually agree to the LCIA or ICC Rules in a neutral seat (e.g., London or Dubai).
13. Changes to Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date. Continued use of the Site after changes constitutes acceptance.
